The information recorded in the Unified State Register of Legal Entities and the EGRIP applies to both the entire organization and its founders. If we are talking about a legal entity, then the personal data of the founders of the company are also contained in the statutory documents.

Typically, the process of making the necessary changes (depending on the nature of these changes) follows two scenarios. This:

  • making changes to the statutory (constituent) documents of the company (this entails changing all the information about the company specified in the Unified State Register of Legal Entities and the EGRIP),
  • amendments to the USRIP and USRLE (without changing the constituent documents).

Let's consider each of these scenarios separately.

The reasons for amending the constituent documents are as follows:

  • Changing the address of a legal entity (changing a legal address quite often causes changes to the Registry information). The company expands and changes the premises of the office to a new one, or, for example, a decision was made to rename the street on which the company building is located by local governments.
  • Changing the name of the company (and any - abbreviated, full, corporate, in a foreign language). This action requires registration without fail.
  • Increase or decrease in the size of the authorized capital.
  • Change of legal form.
  • Re-registration of the company (according to the requirements of Federal Law No. 321).
  • Other changes in the statutory documentation.

  • Step-by-step mini-instruction for the first scenario:

    • Form a package of documents. It must include an application in the form No. З13001 / З14001, a decision (minutes of the meeting) of the founders, at which a decision was made to amend the Charter and a new version of the Charter. The procedure for amending the Unified State Register of Legal Entities is as follows:

  • the founders make some decision that entails legally significant changes that require official recognition;
  • the management forms the necessary package of documentation, including the corresponding application;
  • the authorized person submits it to the tax authorities.

When you need to edit entries in the Unified State Register of Legal Entities

Registration of changes in the Unified State Register of Legal Entities is carried out with and without adjustments to the constituent documents.

Editing of constituent documents with subsequent informing of the IFTS is required if:

  • the name of the company has changed;
  • its location (legal address) has changed;
  • the text of the constituent documents has changed or an error has been identified in them;
  • the authorized capital of the company decreased (increased);
  • the holder of the register of shareholders has changed;
  • the membership of the company has been updated;
  • the founders decided to cancel the voluntary liquidation of the organization;
  • the company has changed its direction of activity, and the Charter contains a finite list of types of economic activities that a legal entity can engage in, etc.

The state duty for making changes to the Unified State Register of Legal Entities is 800 rubles.

When changing the management, name and legal address, it is necessary not only to make changes to the Unified State Register of Legal Entities, but also to notify partners about this.

If the constituent documents do not need to be edited, then an application form in the form No. P14001 is sent to the IFTS, together with the minutes of the meeting of the founders, where the corresponding decision was made, and other papers:

1 - if the head, founder has changed, if changes are required to the Unified State Register of Legal Entities when changing the passport data of these persons:

  • copies of passports and TIN of both the successor and predecessor or the one who changed the passport;
  • minutes of the meeting on the appointment of the governing body or the change of its passport (or the passport of the founder);
  • minutes of the meeting (decision of the sole participant) on the establishment of a legal entity;

2 - if the composition of the founders has been updated, which is typical for a situation where it is required to sell an LLC without debts:

  • decision on the appointment of the governing body of the legal entity;
  • copies of passports and TIN of the founders of the company and its head;
  • confirmation of share payment;
  • in the case of inheritance of a share - certificates of the right to inheritance and the fact of the death of the testator;

3 - if the company decided to engage in other activities, and the Charter does not contain a final list of them, the minutes of the relevant meeting are required;

4 - if you need to correct errors in the Unified State Register of Legal Entities:

  • certificate of establishment of the organization;
  • her TIN;
  • foundation agreement, if the organization has several founders;
  • copies of passports and TIN certificates of the founders and the head;
  • all decisions (protocols) of the company.

Information in paragraphs 1.1 and 1.2 is entered on the basis of the company's constituent documents, and for 1.3 and 1.4 the data is taken from the Registration Certificate.

From July 1, 2017, for organizations in the Unified State Register of Legal Entities, they will put marks on the unreliability of data. If such a mark stays for more than 6 months, the organization is liquidated (clause 2, article 2 of the Law of December 28, 2016 No. 488-FZ).

From September 1, 2014 (and in 2015), the names of organizations must be changed when changes are made to them (the period is not regulated).

OJSC is subject to renaming into a public joint stock company (PJSC);

CJSC is subject to renaming into JSC;

LLC remains unchanged.

In the event of a change in passport data, you need to notify the Federal Tax Service in three days.. It is necessary to make changes to the Unified State Register of Legal Entities.

It is no longer necessary to notify the Federal Tax Service of a change in the head's passport data, the Federal Migration Service notifies the Federal Tax Service of these changes in the manner of interagency cooperation. But this may take time. If you need to make changes urgently, you will have to do it yourself. You must notify the Federal Tax Service of the change in the name of the head within 3 days.

Depending on the situation, we will fill out different pages of the form. Unnecessary pages are not printed and not submitted to the tax office. The responsible persons submitting the declaration will also differ.

Several changes can be made to one P14001 form at the same time: for example, data on the sale of a share and the withdrawal of a participant. Exception: cases when it is necessary to correct an error in the Unified State Register of Legal Entities - only corrected data can be contained in the documents. For this, sheets E, C, D, D, L, P are used.

In 2016 (or rather, in July), the P14001 form was updated, so if you used documents from the 2013 model, they will need to be replaced.

Features of filling out the form P14001

The form can be filled out both by hand (with a black pen in printed letters) and electronically. In the second case, if you download a document from official sources, the only correct solution is automatically set in the Excel form file: Courier New font size 18. Cells with descriptions are protected from deletion of information. However, you can still enter multiple numbers in an empty cell, so make sure that there is only 1 character in each cell.

Please note that the name of the applicant (sheet P) is entered into the form only by hand. Use only a black pen for this.

1. Filling and numbering

In the P14001 form, the pages are marked with letters. When filling them out, they are numbered, and all cells must be filled in, so 3 turns into 003. All pages do not need to be filled out and numbered: put numbers only on those forms where you make changes. For example, to change the director, this will be page K. Accordingly, designate it with the number 002 (the second after the title page).

2. Title page

On the title page, as can be seen from the illustration below, you should indicate the TIN, PSRN and the full name of the organization in large block letters. Remember that the form is machine-readable.

A common mistake is the lack of spaces in a complex business name.

3. Data correction

Using the example of sheet G (information about the mutual fund, which includes the share of the enterprise), we will consider the procedure for replacing data in the Unified State Register of Legal Entities.

At the top of the sheet, you must select a numerical value that explains the reason for submission. In this case, 1 will indicate a new participant whose data is entered below, 2 - the exit of the old participant, and 3 - making changes to existing data in the State Register.

After that, on page 1, we note the data that appears in the registry at the moment. They are, by definition, incorrect. On page 2, we indicate the correct data as they should be.

4. Numerical values

On sheet D and other pages where you need to indicate, for example, the cost of a share, numerical values ​​\u200b\u200bare entered as close as possible to the separator character.

If the number is an integer, then zeros after the point do not need to be indicated.

5. Operations with shares

On sheet C, D, E or E (depending on whether the applicant is a resident of the Russian Federation or a foreign citizen), information is submitted:
- about the former owner of the share (indicate the numerical value 2),
— about the new owner of the share, including heirs (value 1).

Suppose Mr. Goren transferred his share in favor of Mrs. Wasp. In the example of illustration 4, we see how to fill out a page about a participant who sold or transferred a share by inheritance. New information about him in the Unified State Register of Legal Entities does not need to be entered.

In the example of illustration 5, we see how to enter data on the new owner of the share. There is no information about him in the Unified State Register of Legal Entities yet, so we leave this part of the form blank.

6. Applications for OKVED

Form 14001 allows you to replace the main activity, as well as enter additional ones. According to tax legislation, an enterprise can have only one main activity. You can declare its change on sheet H: on the first page the new code is indicated, on page 2 - the old one, which should be excluded from the Unified State Register of Legal Entities.

Terms and features of the submission of form P14001

The form is submitted within 3 days after the changes are made. Depending on the process that gave rise to the application, the applicant (P14001 filer) may be:

  • director of the enterprise (errors in the Unified State Register of Legal Entities, change of director, change of passport data),
  • notary (purchase and sale of shares),
  • seller of a share (purchase and sale of shares).

The applicant's details are filled in on sheet R.

When Form P14001 Is Not Needed

If in 2 words, then in cases where changes affect the Charter and they need to be fixed accordingly, form P13001 is submitted. These include:

  • adding OKVED codes,
  • change of legal address,
  • correction of errors simultaneously occurring in the Unified State Register of Legal Entities and the Charter,
  • introduction of a new founder and its inclusion in the Charter.

Good to know

  1. If you are filing P14001 on the occasion of a change of director, it is best to have the minutes of the meeting where the decision to change was made with you. At the same time, the old director can still submit documents.
  2. If you are filing P14001 to claim a change of business address, you must submit documents for the new address.
  3. When distributing or buying and selling a share, the responsible person is the notary who submits the form to the State Register.
  4. When changing passport data at the time of filing, you must have a copy of your passport with you.
  5. Documents are usually ready within 6 business days. Please note that you can receive them only in the way that you indicated when filling out the form on sheet P, page 4. Thus, if “issuance to the applicant” is indicated, then the Federal Tax Service will not send them by mail and will not issue them by proxy.
